Terms and Conditions

99WAVES operates an online marketplace under the domain www.99waves.com, where private and commercial providers can offer used equipment for wing foiling, kite surfing and windsurfing for sale and purchase this equipment from the buyer.

99WAVES acts solely as an intermediary and is not a party to the purchase agreements concluded via the platform. The purchase agreements are concluded directly between the seller and the buyer (Section 433 of the German Civil Code).

To secure the transaction, 99WAVES provides an escrow payment and payout process via the licensed payment service provider Stripe Payments Europe Ltd. (Stripe Connect) as well as its own buyer protection (§ 10).

§ 1 Scope, Contracting Parties, Definitions

(1) These General Terms and Conditions (hereinafter referred to as "GTC") govern the legal relationship between the KONEKT media GmbH, operator of the 99WAVES platform, based in the Hausener Str. 8, 87665 Mauerstetten, represented by the managing directors Sonnya Endhart and Manuel Endhart, registered in the commercial register of the local court Munich under HRB 259935, VAT ID No. DE297856758 (hereinafter referred to as „99WAVES“ or „Platform“) and the users of the Platform.

(2) These Terms and Conditions apply to all contractual relationships between 99WAVES and users regarding the use of the platform. They do not apply to purchase agreements between sellers and buyers; these are governed by the applicable statutory provisions and – where permissible – by terms separately agreed upon by the contracting parties.

(3) Any differing, conflicting, or supplementary terms and conditions of the user shall only become part of the contract if and to the extent that 99WAVES has expressly agreed to their validity in writing. This also applies if 99WAVES performs the service without reservation despite being aware of such terms and conditions.

(4) For the purposes of these terms and conditions are:

  • „User“: any natural or legal person who maintains an account on the platform;
  • „Consumer“: a natural person who enters into a legal transaction for purposes that are predominantly neither attributable to their commercial nor their independent professional activity (§ 13 BGB);
  • „Entrepreneur“: a natural or legal person or a legally capable partnership that, when concluding a legal transaction, acts in the exercise of its commercial or independent professional activity (§ 14 BGB);
  • „Private seller“: a seller who acts as a consumer within the meaning of § 13 of the German Civil Code (BGB);
  • „Commercial seller“ or „pro-vendor“: a seller who acts as an entrepreneur within the meaning of § 14 BGB;
  • „Buyer“: any user who purchases or intends to purchase an item via the platform;
  • „"Items": used (or exceptionally new) equipment for wing foiling, kite surfing or windsurfing including accessories, offered on the platform;
  • „Buyer protection“: the protection program of 99WAVES regulated in § 10.

§ 2 Services of the platform – Position as intermediary

(1) 99WAVES provides a technical infrastructure through which users can list, search for, buy, and sell items. 99WAVES acts solely as an intermediary and is at no time a party to the purchase agreement concluded between buyer and seller.

(2) Purchase agreements are concluded exclusively between the buyer and seller (§ 433 German Civil Code). 99WAVES never acquires ownership or possession of the advertised items and owes no contractual obligation with regard to the purchased item itself. In particular, 99WAVES does not act as the seller; no purchase agreement is ever concluded between 99WAVES and the buyer. Any right of withdrawal arising from the purchase agreement is therefore directed exclusively against the respective (commercial) seller and never against 99WAVES.

(3) To process transactions, 99WAVES provides the following services to users:

  • Provision of the listing and search function;
  • Mediation of the fiduciary payment processing via the payment service provider in accordance with Section 8;
  • Organization and arrangement of shipping in accordance with § 9 (shipping label, packaging recommendation, possibly insured shipping);
  • Provision of buyer protection in accordance with Section 10;
  • Facilitating communication between the contracting parties and providing support in dispute resolution.

(4) 99WAVES does not guarantee the successful conclusion of a purchase agreement. Users are not entitled to uninterrupted, continuous availability of the platform; the aim is to achieve an average annual availability of 99 %.

(5) 99WAVES does not actively and systematically review the content and advertisements posted on the platform for accuracy, completeness, or legal compliance. Section 7 Paragraph 2 of the Data Protection Act (DSA) and Sections 8 et seq. of the Data Protection Act (DDG) remain unaffected; obviously illegal content will be removed upon discovery.

§ 3 Registration, User Account, Verification

(1) Using the platform as a seller or buyer requires registering a user account. Registration is only permitted for individuals of legal age with full legal capacity or authorized representatives of legal entities.

(2) You must provide truthful information during registration. Any changes to the provided data must be updated immediately in your user account.

(3) Commercial sellers must identify themselves as such and provide all legally required information (company name, address, authorized representatives, registration details, VAT ID number if applicable). The proper fulfillment of the mandatory information and cancellation policy obligations rests solely with the commercial seller.

(4) Before the first payment, sellers and buyers undergo an identity and due diligence check (KYC) by the payment service provider in accordance with Section 10 of the German Money Laundering Act (GwG). The data required for this is transmitted directly to the payment service provider.

(5) The user account is non-transferable. Multiple accounts are not permitted.

§ 4 Advertisements – Obligations of Sellers

(1) Advertisements may only be posted if the seller is the owner of the item and has the right to dispose of it freely, or has the corresponding power of disposal.

(2) The seller must describe the item completely, truthfully, and without misleading information. This includes, in particular, the make, model, size, year of manufacture, material, original accessories, and all known defects, repairs, accident damage, modifications to the material, or safety-related defects (especially kinks in masts or boards, cracks in pressure chambers, defective bladders, damage to foils and wings).

(3) Sellers are required to upload at least three clear photos of the item that depict its actual condition. Any existing defects must be documented photographically.

(4) By posting an advertisement, the seller assures that the item is genuine and not counterfeit and is not encumbered by third-party intellectual property rights (trademark, patent, copyright).

(5) The prices stated in the advertisement are final prices. Commercial sellers must separately show the value-added tax and – where applicable – the information regarding differential taxation according to § 25a UStG (German VAT Act).

§ 5 Prohibited Articles and Content

(1) In particular, the following is prohibited:

  • stolen, received goods or items obtained under unlawful circumstances;
  • Counterfeits, replicas or plagiarized products protected by trademark law;
  • Equipment that is damaged in a safety-relevant way or structurally compromised without an explicit indication of the extent of the damage clearly marked in the advertisement (e.g. "for hobbyists/spare parts");
  • Articles whose sale violates applicable law (in particular product safety law, trademark, copyright, competition or criminal law);
  • Content of an offensive, discriminatory, harmful to minors or unlawful nature.

(2) 99WAVES is entitled to remove listings that violate these regulations or give rise to a corresponding initial suspicion without prior notice and to block the seller's account in accordance with Section 20.

§ 6 Formation of the Purchase Agreement

(1) Posting an advertisement constitutes a non-binding invitation to platform users to submit a purchase offer (invitatio ad offerendum).

(2) By selecting an item and clicking the button labeled "Buy now, please pay," the buyer submits a binding offer to conclude a purchase agreement. The requirements of Section 312j Paragraph 3 of the German Civil Code (BGB) (button solution) are met.

(3) The purchase agreement between buyer and seller is concluded upon confirmation of the offer by the seller. Confirmation occurs through express acceptance via the platform or, at the latest, upon shipment of the item. If the seller does not confirm the offer within 24 hours of receipt, the offer is considered rejected; any payments already made will be refunded. For 99WAVES-verified business sellers who have activated automatic order confirmation, the buyer's offer is considered accepted upon receipt of the order; in this case, the purchase agreement is concluded immediately upon placement of the order. The deadline stipulated in sentence 3 does not apply in this case.

(4) 99WAVES merely forwards the parties' contractual declarations for technical purposes and stores the contract text for the duration of the statutory retention periods. The contract text is sent to the parties by email.

§ 7 Prices, Fees, Commission

(1) Posting an ad is free for private sellers. Different conditions may apply to commercial sellers, subject to a separate agreement.

(2) 99WAVES charges a seller's commission in the event of a successful transaction (conclusion of a purchase agreement). 10 % of the purchase price. The commission is deducted from the purchase price retained by the payment service provider before payment is made to the seller.

(3) For purchases from private sellers and from commercial sellers not yet verified by 99WAVES, buyer protection according to Section 10 is an integral part of the purchase process and included in every such order. The buyer protection fee is 10 % of the purchase price and will be displayed separately and transparently to the buyer before order completion – in the shopping cart and at checkout. No buyer protection fee is charged for purchases from 99WAVES-verified retailers or launch partners.

(4) All prices quoted to consumers are final prices including VAT and other price components in accordance with Section 1 of the Price Indication Ordinance (PAngV). In the case of differential taxation, Section 25a of the VAT Act (UStG) applies.

§ 8 Payment processing via Stripe Connect (escrow)

(1) Payment processing is handled exclusively via the payment service provider Stripe Payments Europe, Ltd. (1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland), an authorized e-money institution of the Central Bank of Ireland (hereinafter "Stripe"), used by 99WAVES, using the Stripe Connect solution.

(2) 99WAVES itself is not a payment service provider as defined by the German Payment Services Supervision Act (ZAG). Funds are held exclusively by Stripe in segregated accounts in accordance with their applicable regulations. The relationship between the user and Stripe is governed by the Stripe Services Agreement and Connected Account Agreement, to which the user agrees separately upon setting up their account.

(3) The purchase price is due for payment to Stripe upon conclusion of the contract. Stripe will receive the amount in escrow and hold it until the conditions for payment pursuant to Section 11 are met.

(4) Accepted payment methods are those specified on the platform (in particular SEPA direct debit, credit card, instant bank transfer, Apple Pay, Google Pay). The availability of individual payment methods may depend on creditworthiness criteria and country.

(5) 99WAVES does not have access to the buyer's payment information. Data storage and transmission are handled by Stripe in compliance with PCI DSS regulations.

(6) Payment outside the platform (especially direct transfer to the seller, cash, crypto assets) is prohibited and will result in the loss of buyer protection in accordance with Section 10 and the possible blocking of the account in accordance with Section 20.

§ 9 Shipping and Shipping Management

(1) Shipping is handled via logistics partners arranged by 99WAVES. After the contract is concluded, the seller receives a pre-prepared shipping label; unless otherwise stated, shipping costs are borne by the buyer and included in the purchase price.

(2) The seller must hand over the item ready for shipment and package it appropriately for transport within five working days of the contract being concluded. For large items (boards, foils, masts), the packaging recommendations provided by 99WAVES must be observed.

(3) In a sale involving shipment, the risk of accidental loss or damage to the goods generally passes to the buyer upon handover to the carrier, according to § 447 of the German Civil Code (BGB). In consumer sales to consumers, § 475 para. 2 of the German Civil Code (BGB) applies; in this case, the risk only passes upon delivery to the buyer.

(4) Damage or loss during transport must be reported to 99WAVES immediately, ideally within 48 hours of delivery. In the case of visible damage, a damage report must be filed with the carrier and demonstrably submitted to 99WAVES.

§ 10 Buyer Protection of 99WAVES

(1) 99WAVES offers its own buyer protection for purchases made through the platform. This buyer protection is a paid program offered by 99WAVES; it is not insurance as defined by the Insurance Supervision Act and does not replace the buyer's statutory rights regarding defects, cancellation, or damages against the seller.

(2) Buyer protection applies if

  • The item is not delivered within 30 days of the conclusion of the contract and the seller does not deliver it within a reasonable grace period.,
  • the item is demonstrably lost or destroyed in transit, or
  • the delivered item differs significantly from the description in the advertisement ("Significantly Not As Described").

(3) A significant deviation within the meaning of paragraph 2 exists in particular in the case of: incorrect model, incorrect size, undisclosed significant defects, missing essential components, or lack of authenticity (counterfeiting). Minor signs of wear indicated in the advertisement or insignificant deviations do not constitute grounds for buyer protection.

(4) The buyer must report the buyer protection claim within 48 hours of delivery of the item using the platform's complaint form and provide supporting documentation with clear photos and a written description. If the buyer misses this deadline, the delivery is considered confirmed; buyer protection ends, but statutory warranty rights against the seller remain unaffected.

(5) 99WAVES will review the claim immediately upon receipt of the report. Both parties are obligated to cooperate in the investigation and to promptly submit requested evidence – in particular photos, receipts, and shipping confirmations. The duration of the review depends on the complexity of the case and how quickly all necessary evidence is received; 99WAVES will keep the parties informed of the processing status.

(6) If the buyer protection claim is justified, 99WAVES will refund the buyer the purchase price, including shipping costs. The return of the item to the seller (or, if agreed, to 99WAVES) is at the expense of the party responsible for the defect; the return shipping label will be provided by 99WAVES.

(7) Buyer protection is excluded if

  • Payment was made outside the platform,
  • the item was handed over via personal collection ("self-pickup"),
  • The complaint concerns a characteristic specified in the advertisement (e.g., "for hobbyists", "for spare parts", visible damage).,
  • the buyer has altered, repaired or transferred the item to a third party after receiving it, or
  • the deadline for lodging a complaint according to paragraph 4 has been missed.

(8) The use of buyer protection is without prejudice to any legal claims the buyer may have against the seller. In the event of a buyer protection claim, 99WAVES will provide advance payment and reserves the right to assert any claims for damages against the seller.

§ 11 Confirmation of Delivery and Payment

(1) After delivery, the buyer will be asked to confirm proper receipt of the item via the platform.

(2) Stripe will pay the seller the purchase price after deducting the commission as per Section 7 Paragraph 2, as soon as the buyer confirms receipt of the item. If the buyer does not confirm, payment will be made automatically 48 hours after delivery. This applies equally to private and commercial sellers.

(3) The buyer may extend the deadline under paragraph 2 once by 48 hours before its expiry.

(4) During an ongoing complaint or buyer protection procedure (§§ 10, 12) the running of the time limit according to paragraph 2 is suspended; payment is suspended until final clarification.

§ 12 Complaint – „Not as described“

(1) If the buyer discovers that the delivered item differs significantly from the advertisement description or has an undisclosed defect, he must report this using the complaint form within the time limit specified in Section 10 Paragraph 4.

(2) 99WAVES will inform the seller of this immediately and give them the opportunity to comment. The seller is obligated to cooperate and must, in particular, provide proof of shipment, photos of the packaging, and, if applicable, proof of authenticity. If the seller fails to comply with this obligation within 48 hours, 99WAVES may make a decision based on the available documentation.

(3) If both parties reach an agreement, 99WAVES will implement the agreed-upon solution (reversal of the transaction, partial refund, or keeping the item). If no agreement is reached, 99WAVES will decide at its reasonable discretion, taking into account the evidence presented. This decision does not affect the right of either party to pursue legal action regarding their respective claims.

§ 13 Return and Refund

(1) If a return is made as part of a complaint or buyer protection case, it must be made in the original packaging or equivalent packaging suitable for transport.

(2) The return shipping costs are borne by the customer.

  • the seller, insofar as the return is due to a defect or deviation for which he is responsible;
  • The buyer in all other cases, unless the statutory right of withdrawal against a commercial seller imposes the burden on the seller (§ 357 para. 6 BGB).

(3) Until the return is confirmed, the buyer bears the risk; after handover to the carrier designated by 99WAVES, the recipient bears the risk.

§ 14 Warranty for purchases from private sellers

(1) If a consumer, acting as a private seller, sells a used item to another consumer or a business, the liability for material defects can generally be excluded under Section 444 of the German Civil Code (BGB). Such an exclusion of warranty does not apply to damages resulting from injury to life, body, or health, nor to damages caused intentionally or through gross negligence by the seller.

(2) Furthermore, a warranty exclusion is ineffective if the private seller fraudulently conceals a defect or has assumed a guarantee of quality (§ 444 BGB).

(3) A statement in the advertisement by a private seller that the item is sold "as seen", "used without guarantee" or with similar wording does not constitute a standard exclusion in relation to buyers who are consumers; however, the individual description of the item (agreement on quality) remains paramount.

(4) 99WAVES itself assumes no liability for items offered by private sellers; Section 18 (Liability) applies accordingly.

§ 15 Right of withdrawal and warranty for commercial sellers

(1) In sales contracts between consumers and commercial sellers, the buyer is entitled to the statutory consumer rights, in particular

  • the right of withdrawal pursuant to Sections 312g, 355 of the German Civil Code (BGB) within 14 days (see Annex 1 for sample withdrawal instructions and Annex 2 for sample withdrawal form);
  • Warranty rights according to §§ 434 ff. BGB, whereby the limitation period for used goods can be reduced to not less than one year from delivery in accordance with § 476 para. 2 BGB, provided that this is expressly and separately agreed before the conclusion of the contract and the buyer has been separately informed.

(2) The legally compliant provision of the cancellation policy and the provision of all legally required information is the sole responsibility of the commercial seller. While 99WAVES provides technical tools for this purpose, it does not verify the accuracy of the content and assumes no liability for any errors made by the seller.

(3) The right of withdrawal expires for goods that have been inseparably mixed with other items after delivery, as well as in the further cases regulated in § 312g para. 2 BGB.

(4) Payments to commercial sellers are uniformly governed by Section 11 Paragraph 2; they are not withheld until the end of the cancellation period. If the buyer cancels after payment has been made, the commercial seller is obligated to reverse the transaction with the buyer; 99WAVES supports the reversal process within its technical capabilities.

§ 16 Obligations of the Buyers

(1) The buyer must inspect the item immediately upon receipt.

(2) Defects and deviations must be reported immediately, at the latest within the period specified in Section 10 Paragraph 4. For purchases by businesses acting as businesses, Section 377 of the German Commercial Code (HGB) also applies.

(3) The buyer is obligated to provide a correct delivery address. Any costs and losses resulting from incorrect information will be borne by the buyer; buyer protection does not apply in this case.

§ 17 Assessments and Communication

(1) Buyers and sellers can rate each other after a transaction is completed. Ratings must be truthful, objective, and free of offensive, discriminatory, or unlawful content.

(2) Communication between users must take place exclusively via the platform's internal communication channels, insofar as this is sensible for evidentiary and security reasons.

§ 18 Liability of the platform

(1) 99WAVES is fully liable for damages that

  • based on an intentional or grossly negligent breach of duty by 99WAVES, its legal representatives or agents;
  • resulting from injury to life, body or health;
  • are liable for compensation under the Product Liability Act or under a guarantee assumed by 99WAVES.

(2) Furthermore, 99WAVES is only liable for breaches of essential contractual obligations (cardinal obligations); in this case, liability is limited to the foreseeable, typical contractual damages at the time of contract conclusion. Essential contractual obligations are those whose fulfillment is essential for the proper execution of the contract and on whose compliance the contractual partner regularly relies and may rely.

(3) Any further liability is excluded.

(4) 99WAVES is not liable

  • for the accuracy, completeness or legality of the advertisements, descriptions, photos or other content posted by users;
  • for the fulfillment of the purchase contracts concluded between buyer and seller, in particular not for defects, delivery delays, non-performance or authenticity of the items;
  • for damage caused by packaging of the item that deviates from the seller's instructions or is improper;
  • for the uninterrupted availability of the platform; Section 2 Paragraph 4 remains unaffected;
  • for the loss of data, unless this was caused by a culpable breach of duty by 99WAVES, or the damage would have occurred even with proper, industry-standard data backup by the user;
  • for indirect damages, lost profits or lost savings, insofar as such a limitation is permissible under the preceding paragraphs.

(5) The foregoing limitations of liability apply in respect of 99WAVES' position as a mere intermediary; they do not affect the buyer's direct legal claims against the seller.

(6) To the extent that the liability of 99WAVES is excluded or limited, this also applies to the personal liability of its legal representatives, employees and agents.

§ 19 Exemption

(1) The user shall indemnify 99WAVES upon first demand against all third-party claims arising from a breach of these Terms and Conditions attributable to the user, any unlawful act in connection with the use of the platform, or from content posted by the user. This indemnification also includes the necessary costs of reasonable legal defense.

(2) 99WAVES will inform the user immediately of the use and – to the extent legally permissible – give them the opportunity to comment.

§ 20 Blocking and Termination

(1) 99WAVES is entitled to temporarily or permanently suspend a user account if the user violates essential obligations under these Terms and Conditions, in particular if information in advertisements is incorrect, payments are processed outside the platform, counterfeit or stolen items are offered, or there are indications of fraudulent behavior.

(2) Before permanently suspending an account, 99WAVES will give the user an opportunity to comment, unless this is not necessary for security reasons or to protect the legitimate interests of third parties.

(3) In the event of a suspension, the obligations already established by the parties, in particular those arising from current purchase agreements and buyer protection, remain unaffected.

§ 21 Term and Termination

(1) The agreement for the use of the platform is concluded for an indefinite period. It can be terminated by either party at any time without notice, provided there are no outstanding transactions.

(2) The user may terminate the account by using the "Delete account" function in their user account, or 99WAVES may terminate the account by email or electronic message to the user account.

(3) The right to extraordinary termination for good cause remains unaffected.

Section 22 Data Protection

Personal data is processed in accordance with the 99WAVES privacy policy, available at www.99waves.com/datenschutz. The privacy policy is not part of these terms and conditions.

Section 23 Amendment of the General Terms and Conditions

(1) 99WAVES is entitled to amend these Terms and Conditions with future effect, provided there is an objectively justified reason for doing so (e.g., changes in the legal situation, supreme court rulings, market requirements, security or technical adjustments). Significant changes to the user's disadvantage will only be made with the user's express consent.

(2) The amended Terms and Conditions will be communicated to the user in writing at least six weeks before their planned effective date; the right to object and its legal consequences will be specifically pointed out. If the user does not object within six weeks of receiving the notification of changes, the amended Terms and Conditions will be deemed accepted. 99WAVES will specifically draw attention to this legal consequence in the notification of changes.

Section 24 Dispute Resolution, Consumer Arbitration

(1) The European Commission provides a platform for online dispute resolution (ODR), which can be accessed at https://ec.europa.eu/consumers/odr. Consumers have the option of using this platform to resolve their disputes.

(2) 99WAVES is neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board in accordance with § 36 VSBG.

§ 25 Final Provisions

(1) The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers with their habitual residence in another EU member state, this choice of law applies only to the extent that the consumer is not thereby deprived of the protection afforded by mandatory provisions of the law of their country of residence (Art. 6 para. 2 Rome I Regulation).

(2) If the user is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes arising from these Terms and Conditions is the registered office of 99WAVES. The statutory places of jurisdiction remain unaffected with respect to consumers.

(3) Should individual provisions of these Terms and Conditions be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid or unenforceable provision shall be replaced by the applicable statutory provision (Section 306 Paragraph 2 of the German Civil Code).

(4) Declarations in text form (§ 126b BGB) are sufficient unless expressly stipulated otherwise.


Annex 1 – Sample cancellation policy (for purchases from commercial sellers)

The following cancellation policy must be completed by the respective commercial seller with their details and provided to the consumer in written form in good time before they submit their contractual declaration. The following version corresponds to the model in Annex 1 to Article 246a of the Introductory Act to the German Civil Code (EGBGB).

A notice: 99WAVES is neither the seller nor a party to the purchase agreement and therefore does not provide its own cancellation policy. A right of cancellation exists exclusively for purchases from commercial sellers and is directed solely against them. There is no statutory right of cancellation for purchases from private sellers.

Right of withdrawal

You have the right to withdraw from this contract within fourteen days without giving any reason.

The cancellation period is fourteen days from the day on which you or a third party named by you, who is not the carrier, have taken possession of the goods.

To exercise your right of withdrawal, you must inform us ([Seller's name/company, address, telephone number, email address]) of your decision to withdraw from this contract by means of a clear statement (e.g. a letter sent by post or email). You may use the attached model withdrawal form, but this is not obligatory.

To meet the cancellation deadline, it is sufficient that you send your notification of exercising your right of cancellation before the cancellation period expires.

Consequences of the revocation

If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (except for the supplementary costs arising if you chose a type of delivery other than the cheapest standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract.

For this refund, we will use the same payment method that you used for the original transaction, unless expressly agreed otherwise with you; in no case will you be charged any fees for this refund.

We may refuse reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.

You must return or hand over the goods to us without undue delay and in any event no later than fourteen days from the day on which you notify us of your withdrawal from this contract. The deadline is met if you send the goods before the period of fourteen days has expired.

You bear the direct costs of returning the goods.
